Terms of use

These terms govern your use of the Nexdha app and this website. They form an agreement between you and Nexdha AI Fintech Private Limited, a company incorporated in India with its registered office at 3rd Floor, Plot No. C-15/1, Secretariat Colony, Thiruvalluvar Nagar, Alandur, Chennai, Tamil Nadu 600016. "Nexdha", "we", "us" and "our" mean that company. "You" means the person or business using the service.

By creating an account or making a payment you accept these terms. If you do not accept them, do not use the service. Please read them alongside our privacy policy and our refunds and cancellation policy, both of which form part of this agreement.

1. What Nexdha does

Nexdha is a technology platform. You tell us a bill, rent, fee or invoice you want paid, and how you want to pay for it. We collect that amount plus a convenience fee from your credit card, debit card or UPI through a payment gateway, and we arrange for the bill amount to be paid to the beneficiary through our banking and payment partners.

Nexdha is not a bank. We do not accept deposits, we do not lend money, and we do not extend credit to you. Any credit you use is credit your own card issuer has already given you, on that issuer's terms. We are not a party to your agreement with your card issuer or your bank.

We are also not a party to whatever you owe the beneficiary. Your contract for electricity, rent, tuition, goods or services is with that biller, landlord, institution or vendor. Nexdha pays it on your instruction; it does not become responsible for it.

2. Eligibility

To use Nexdha you must:

  • be at least 18 years old and able to enter a contract under Indian law;
  • be resident in India, or be a business registered in India;
  • use a payment instrument issued in your own name, or in the name of the business whose account you are authorised to operate;
  • complete the identity verification we ask for; and
  • not be a person or entity barred from receiving financial services under any applicable law or list.

If you use Nexdha for a business, you confirm you are authorised to bind that business, and these terms apply to it as well as to you.

3. Your account

You must give accurate information when you register and keep it current. One person or business, one account. Accounts are personal to you and may not be sold, shared or transferred.

You are responsible for your account credentials, your device and your one-time passwords. Do not share them, with anyone, ever. We will never ask you for an OTP, your full card number, your CVV or any PIN. If you think somebody else has access to your account, tell us at support@nexdha.com immediately.

Instructions given through your verified account, and approved with your bank or UPI app, are treated as given by you. Money that has already been settled to a beneficiary on such an instruction cannot be recalled by us.

4. Making a payment

You are responsible for the details you enter. The consumer number, account number, IFSC, UPI handle, beneficiary name and amount are yours to get right. Check them before you confirm, because a payment sent to a wrongly typed account is difficult and sometimes impossible to recover.

Before you confirm, we show you the bill amount, the convenience fee, the tax on that fee and the total. Confirming means you authorise us to collect the total from your chosen instrument and to pay the bill amount to the beneficiary.

A payment is complete when the beneficiary's bank credits their account. Timelines we quote are estimates that depend on banking systems, the beneficiary's bank and working days, and are not guarantees. We will always give you the bank reference so a delayed credit can be traced.

We may decline or hold a payment where we are required to, where the details appear wrong, where our checks suggest fraud, or where a verification step is outstanding. If we hold or decline a payment we will tell you, and any amount already collected is returned under the refunds policy.

5. Fees

We charge a convenience fee on each transaction, plus Goods and Services Tax on that fee at the applicable rate. The fee depends on the category and the payment method, and the exact amount in rupees is shown on the confirmation screen before you confirm. Nothing is added afterwards.

There is no joining fee, annual fee, subscription or minimum monthly volume. Your card issuer or bank may separately charge you interest, late fees or other charges under your agreement with them, and those are between you and them.

We may change our fees. Changed fees apply only to payments made after the change, and you will always see the current fee before confirming.

6. What you may not do

These uses of Nexdha are prohibited, and we enforce this.

  • Paying yourself. You may not use Nexdha to move money to an account you own or control, or to a person acting for you, in order to obtain cash from a credit line. This is the main thing we watch for.
  • Using someone else's instrument. Do not use a card, account or UPI handle that is not yours or your business's, or that you are not authorised to use.
  • Fabricated payments. Do not create fictitious bills, invoices, rent agreements or beneficiaries, and do not submit documents that are forged or altered.
  • Unlawful purposes. Money laundering, terrorist financing, tax evasion, gambling where it is prohibited, or any transaction forbidden by law.
  • Circumventing limits. Splitting payments, opening multiple accounts or using other devices to get around transaction limits or verification requirements.
  • Abusing chargebacks. Raising a chargeback for a payment we have correctly settled on your instruction.
  • Attacking the service. Reverse engineering the app, probing or breaching our security, scraping, using bots, or interfering with other users.

If you breach this section we may suspend or close your account, reverse or withhold payments, report the matter to the relevant authorities, and recover any loss from you. Where we suspend an account we will tell you the reason unless the law prevents us from doing so.

7. Verification and limits

We are required to verify who our users are. You agree to provide the identity documents we ask for and to update them when they change. We may restrict or suspend an account until verification is complete.

We apply per-transaction and periodic limits, which vary by account, category and payment method, and which we may change to manage risk. Limits are shown in the app. For a large one-off payment, write to us beforehand and we will tell you what is possible.

8. Refunds, failures and disputes

Failed payments, refunds, reversals and how to raise a dispute are dealt with in the refunds and cancellation policy, which forms part of these terms. In short: if we could not deliver a payment, you get the money back including the fee; and once money has reached the beneficiary, any dispute about what you owed them is between you and them.

9. Availability

We aim to keep Nexdha available, but we do not promise uninterrupted service. The app depends on banking systems, payment gateways, biller systems and networks that we do not control. We may take the service down for maintenance, and we will try to do that at quiet hours.

We may add, change or withdraw features. If we withdraw something you rely on, we will give reasonable notice where we can.

10. Intellectual property

The Nexdha name, the Nexdha mark and logo, the app, the website and their design, text and software belong to Nexdha AI Fintech Private Limited or its licensors. You get a personal, revocable, non-transferable licence to use the app for its intended purpose. You may not copy, modify, distribute, sell or create derivative works from it, or remove any proprietary notice.

Third-party names appearing in the app, such as banks, card networks and billers, belong to their owners and are used only to identify them.

11. Our liability

We take responsibility for our own service. We are liable for direct losses you suffer because we failed to carry out a payment instruction correctly, or because of our negligence or wilful misconduct.

We are not liable for:

  • details you entered incorrectly, including a wrong account number, IFSC or amount;
  • the acts or omissions of your bank, card issuer, a payment gateway, a beneficiary or a biller;
  • a dispute about the goods, services, tenancy or education the payment relates to;
  • interest, late fees or other charges levied by your card issuer or bank;
  • delays or failures caused by events outside our reasonable control, including network or banking outages, strikes, natural events, changes in law or regulatory direction;
  • indirect, incidental, special or consequential loss, or loss of profit, revenue, goodwill or opportunity.

Where we are liable, our total liability for any claim or series of related claims is limited to the higher of the amount of the specific transaction complained of, or the total convenience fees you paid us in the three months before the claim arose.

Nothing in these terms limits any liability that cannot be limited under Indian law, including liability for fraud.

12. Indemnity

You agree to indemnify us against claims, losses, penalties and reasonable legal costs arising from your breach of these terms, your misuse of the service, the inaccuracy of information or documents you gave us, or any claim by a third party whose details you gave us without being entitled to.

13. Suspension and closure

You may close your account at any time under section 9 of the privacy policy. Closure does not cancel payments already made or amounts you owe your card issuer.

We may suspend or close your account if you breach these terms, if we are required to by law or by a partner bank, if our checks indicate fraud or misuse, or if you have not used the account for a long period. Except where the law prevents it, we will tell you and give you the reason. Payments in flight will be completed or reversed, and anything properly due to you will be returned.

14. Communications

By holding an account you agree to receive transaction receipts, failure notices, security alerts and legally required notices by push notification, email or SMS. These are records of your account and cannot be turned off while the account is open, though you can choose the channel. Marketing messages are separate and you can opt out of them at any time without affecting your account.

15. Changes to these terms

We may change these terms. For a material change we will give you at least 14 days' notice in the app or by email before it takes effect. Minor corrections take effect when published. The effective date and version at the top tell you which version applies. Using the service after a change takes effect means you accept it; if you do not, close your account.

16. Governing law and disputes

These terms are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction over any dispute arising from them.

Before going to court, please write to us at support@nexdha.com. Most disputes turn out to be a payment that can be traced, and we would rather fix it than argue about it.

17. General

If any provision of these terms is held unenforceable, the rest continues to apply. Our not enforcing a right on one occasion does not waive it. You may not assign this agreement; we may assign it as part of a merger or reorganisation. These terms, together with the privacy policy and the refunds policy, are the whole agreement between us on this subject.
